It will work, however it won't run your intercooler pump. I have an 04 lightning and put in the same ECU you listed and there is something different in the pinout where it won't run the pump. I just wired my pump to run fulltime but I'm sure it's easy enough to make it work like factory. Also if you ever want to get rid of one of those ECU's let me know.

I will add that it depends on what your long term goals/mods will be. I took the stock speed density really far with my 94 lightning but finally met the limit of it. I went pimpxshift and it is great. But I subject my stock bottom end to 800+ hp so yeah lol.
